VII. eStatement Agreement
This Online Access Agreement ("Access
Agreement") for accessing your Oneida
Savings accounts through OneLink explains the terms and conditions
governing the Online banking services and bill pay offered through OneLink. By
using the OneLink Services, you agree to the terms and conditions of this
Access Agreement. This Online Access Agreement will be governed by and
interpreted in accordance with Federal law and regulation, and to the extent
there is no applicable Federal law
or regulation, by the laws of the State of New
York. The terms "we," "us,"
"our," "Oneida Savings,"
and "Bank" refer to Oneida
Savings. "You" refers to each signer on an account. The term
"business days" means Monday through Friday, excluding Saturday,
Sunday and Federal holidays.
OneLink can be used to access Oneida Savings accounts. Each of your accounts at Oneida Savings is also governed by the
applicable account disclosure statement ("Deposit Agreement and Disclosure").
Accessing Your Oneida Savings Accounts through OneLink
To access your accounts through OneLink, you must have an Oneida Savings account and an Online password.
Electronic Mail (E-mail)
Sending electronic mail (E-mail) through OneLink is a way
to communicate with the Bank. E-mail is provided for you to ask questions about
your account(s) and provide general feedback. E-mail is accessible after you
sign on with your password to a session of OneLink. To ensure the security of
your account information, we recommend that you use E-mail when asking specific
questions about your account(s).
You cannot use E-mail to initiate transactions on your
account(s). For banking transactions, please use the appropriate functions within
OneLink or call (315) 363-2000.
There are no monthly or transaction fees for accessing
your account(s) through OneLink. See Section IV for a description of Bill Pay
Please note that fees may be assessed by your Online service provider.
Savings may, from time to time, introduce new Online
services. We will notify you of any new services. By using these services when
they become available, you agree to be bound by the rules communicated to you
concerning these services.
Benefits of Using OneLink
With OneLink, you can manage your personal or small
business accounts from your home or office on your personal computer. You can
use OneLink to:
·View account balances and review transaction
·Transfer money between accounts. (As noted in the
applicable account Deposit Agreement and Disclosure Statement).
·Pay bills to any merchant, institution or
·Communicate directly with Oneida Savings through E-mail.
III. Terms and Conditions
The first time you access your Oneida Savings accounts through OneLink
you agree to be bound by all the terms and conditions of this Agreement and acknowledges your receipt and understanding of this
You will be given an Online Password that will give you
access to your Oneida Savings
accounts for OneLink access. This password can be changed within OneLink using
the options button. We require that you change your password every six months. Oneida Savings will act on instructions
received under your password. For security purposes, it is recommended that you
memorize this Online password and do not write it
down. You are responsible for keeping your password, account numbers and other
account data confidential.
Although there are no fees for accessing your accounts
through OneLink, you may be asked to designate a payment account for selected
services such as Bill Pay. You agree to pay promptly all fees and charges for
services provided under this Agreement, and authorize us to charge the account
that you have designated as the payment account or any other account for the
If you close the payment account, you must notify Oneida Savings and identify a new
payment account for the selected services. Additionally, if you close all Oneida Savings accounts, you must
notify Oneida Savings Customer
Service to cancel the OneLink services.
Your Online access may be
canceled at any time without prior notice due to insufficient funds in one of
your accounts. After cancellation, OneLink services may be reinstated, once
sufficient fundsare available in
your accounts to cover any fees and other pending transfers or debits. In order
to reinstate your services, you must call Oneida

If you do not access your Oneida Savings accounts through OneLink for any (1) one year
period, Oneida Savings reserves the
right to disconnect your service without notice. Please note that your bill
payment information will be lost if you are disconnected.
You agree to be responsible for any telephone charges
incurred by accessing your Oneida
Savings accounts through OneLink.
If you wish to cancel any of the OneLink services offered
through OneLink, please contact Oneida
Savings Customer Service at (315)
363-2000 or send us cancellation instructions in writing to Oneida Savings, 182 Main Street, OneidaNY13421.
Except as specifically provided in this Agreement or where
the law requires a different standard, you agree that neither we nor the
service providers shall be responsible for any loss, property damage or bodily
injury, whether caused by the equipment, software, Oneida Savings, OR by Internet browser providers such as Netscape
(Netscape Navigator browser) and Microsoft (Microsoft Explorer browser), OR by
Internet access providers OR by Online service providers OR by an agent or
subcontractor of any of the foregoing. Nor shall we or the
service providers be responsible for any direct, indirect, special or
consequential, economic or other damages arising in any way out of the
installation, use or maintenance of the equipment, software, the Online
Financial Services, or Internet browser or access software.
Overdrafts: Order of Payments, Transfers, Other Withdrawals
If your account has insufficient funds to perform all
electronic funds transfers (ATM withdrawals, pre-authorized transactions,
OneLink transfers and bill payments, etc.) that you have requested for a given
business day, then:
1.Certain electronic funds transfers involving
currency disbursement, like ATM withdrawals, will have priority, and
2.The electronic funds transfers initiated through
OneLink may result in an overdraft of your account and may, at Oneida Savings's discretion, be canceled.
In addition, you will be charged the same overdraft
charges that apply to your account.
You can access your Oneida
Savings accounts through OneLink seven days a week, 24 hours a day.
However, at certain times, some or all of OneLink may not be available due to
system maintenance or circumstances outside our control.
A transfer initiated through OneLink before on a
business day is posted to your account the same day. All transfers completed
after on a business day or on a Saturday, Sunday or
banking holiday, will be posted on the next business day.
Our business days are Monday through Friday. Saturday,
Sunday and Federal holidays are not included as a business day.
Additional Terms and Conditions
Obtaining Account Balance and Transaction History - You
can obtain balance and transaction history on all eligible accounts. Current
balance and activity information is available as of the close of the previous
Transferring Funds - The number of transfers from a
savings account is limited as described in the applicable Deposit Agreement and
Disclosure. If a hold has been placed on deposits made to an account from which
you wish to transfer funds, you cannot transfer the portion of the funds held
until the hold expires.
The OneLink Payment Service allows you to schedule bill
payments through OneLink. You can schedule, at your option, for the payment of
your current, future and recurring bills from any of your Oneida Savings checking accounts. There is no limit to the number
of payments that may be authorized. You may pay any merchant or individual
through the use of OneLink. We are unable to process any payment of taxes or
court-directed payments through OneLink Payment Services.
By furnishing us with the names of payees/merchants, you
authorize us to follow the payment instructions to these payee/merchants that
you provide us through OneLink. When we receive a payment
instruction (for the current or a future date), we will remit funds to the
payee on your behalf from the funds in your selected checking account.
When OneLink receives a payment instruction, you authorize it to charge your
checking account and remit funds on your behalf on the business day designated.
Payments are remitted by First Class US Mail on the designated business day.
While it is anticipated that most payments will arrive at the designated payee
in one to three business days, it is understood that due to circumstances
beyond the control of OneLink, particularly delays in handling and posting
payments slow-responding companies or financial institutions, some transactions
may take a few days longer.
For this reason, it is recommended that all payments
transfers be scheduled to at least (7) seven business days before the actual
due date, not the late date.
OneLink shall incur no liability if it is unable to
process any payments initiated by you through OneLink payment services because
of the existence of any one or more of the following circumstances:
1.Your account does not contain sufficient funds to
complete the transaction or the transaction would exceed the credit limit of
your overdraft protection account.
2.The OneLink processing center is not working
properly and you know or have been advised by the service about the malfunction
before you execute the transaction.
3.You have not provided OneLink with the correct
names or account information for those persons or entities to whomever you wish
to direct payment.
4.Circumstances beyond the OneLink's
control such as, but not limited to, fire,
flood, or interference from an outside force that would prevent the proper
execution of the transaction, OneLink has taken reasonable precautions to avoid
You have the right to stop or change any scheduled payment.
You must cancel the payment by no later than (Eastern Time), on the Payment Date,
by using the DELETE function on the OneLink "Pending Payment" screen.
Savings reserves the right to terminate your use of OneLink bill
payment service in whole or part, at any time without prior notice.
If, for any reason, you should ever wish to cancel OneLink
bill payment services, we strongly suggest that you cancel all future bill
payments at the same time that you cancel your service, either by deleting
those payments yourself using OneLink or calling Oneida Savings's
Customer Service at (315) 363-2000.
This will ensure that future payments and transfers made by you will not be
duplicated. We will automatically delete all outstanding payment orders (all
individual payments and all recurring payments) once we have been notified that
your service has been terminated. We will continue to maintain your accounts
until you notify us otherwise.
There are currently no fees assesses for OneLink payment
services. Should we impose a fee in the future, we will give you at least
thirty days notice, utilizing the message system within OneLink. Any Bill
Payment fees charged are in addition to the fees and service charges specified
in your applicable checking, savings, overdraft protection account agreements
(for example, uncollected or overdraft
charges on your checking account).
If the payment account has insufficient funds to cover
fees, the Bank will deduct the fee from any other checking account linked to
OneLink (in any order we may choose). If the fee cannot be paid, we may cancel
your Bill Pay service. After cancellation, your Bill Pay service may be
reinstated by contacting Oneida Savings
Customer Service once sufficient funds are available in your payment account to
cover the bill payment fees and any other pending transfers or debits.
Changes to Charges, Fees or Other Terms
We reserve the right to change the charges, fees or other
terms described in this Agreement. However, when changes are made to any fees
or charges, we will notify you Online, or send a notice to you at the address
shown on our records, or send you an electronic mail message (E-mail). The
notice will be posted or sent at least thirty (30) days in advance of the
effective date of any additional fees for Online transactions, or of any
stricter limits on the type, amount or frequency of transactions or any
increase in your responsibility for unauthorized transactions, unless an
immediate change is necessary to maintain the security of the system. If such a
change is made, and it can be disclosed without jeopardizing the security of
the system, we will provide you with electronic or written notice within thirty
(30) days after the change. As always, you may choose to accept or decline
changes by continuing or discontinuing the accounts or services to which these
changes relate. We also reserve the option, in our business judgment, to waive,
reduce or reverse charges or fees in individual situations. Changes to fees
applicable to specific accounts are governed by the applicable Deposit
Agreement and Disclosure.
Disclosure of Account Information
You understand that in addition to information furnished
pursuant to legal process, some information about your accounts may
automatically be disclosed to others. For example, the tax laws require
disclosure to the government of the amount of the interest you earn, and some
transactions, such as certain large currency and foreign transactions, must be
reported to the government. The Bank may also provide information about your
account(s) to persons or companies the Bank believes would use the information
for reasonable purposes, such as when a prospective creditor seeks to verify
information you may have given in a credit application or a merchant calls to
verify a check you have written. In addition, the Bank may inform a credit
bureau when accounts are closed by the Bank because they were not handled
properly. The Bank may also seek information about you from others, such as a
credit bureau, in connection with the opening or maintaining of your account.
You authorize these transfers of information.
Questions or Error Correction on OneLink Transactions
In case of questions or errors about OneLink funds transfers
through OneLink involving your account,

as you can if you think your statement or transaction record is wrong, or if
you need more information about a transaction listed on the statement or

after we have sent the first paper statement on which the problem or error
appeared. If you notify us verbally, we may require that you send us your
complaint or question in writing within ten (IO) business days.
·Tell us your name and account number
·Describe the error or the transaction you are
unsure about, and explain why you believe it is in error or why you need more
·Tell us the dollar amount of the suspected error.
·For a bill payment, tell us the checking account
number used to pay the bill, payee name, date the payment was sent, payment
amount, reference number, and payee account number for the payment in question.
·Here's what we will do:
We will tell you the results of our investigation within
ten (10) business days, or twenty (20) business days in the case of point of
sale purchases, after we hear from you and will correct any error promptly. If
we need more time, however, we may take up to forty-five (45) days, or ninety
(90) days in the case of point of sale or international transactions, to
investigate your complaint or question. If we decide to do this, we will credit
your account within ten (10) business days, or twenty (20) business days in the
case of point of sale or international transactions, for the amount you think
is in error, so that you will have the use of the money during the time it
takes us to complete our investigation. If we ask you to put your complaint or
question in writing and we do not receive it within ten (10) business days, we
will not credit your account. If we determine that there was no error, we will
send you a written explanation within three (3) business days after we finish
our investigation and debit the amount of the error that we previously
credited. You may request copies of the documents that we used in our
If we do not complete a transfer to or from your Oneida Savings account on time or in
the correct amount according to our agreement with you, we will be liable for
your losses or damages. However, there are some exceptions. We will not be
liable, for instance:
·If, through no fault of ours, you do not have
enough money in your account to make a transfer.
·If a legal order directs us to prohibit withdrawals
from the account.
·If your account is closed or if it has been frozen.
·If the transfer would cause your balance to go over
the credit limit for any credit arrangement set up to cover overdrafts.
·If you, or anyone you allow, commits any fraud or
violates any law or regulation.
·If any electronic terminal, telecommunication
device or any part of the electronic fund transfer
system is not working properly.
·If you have not provided us with complete and
correct payment information, including without limitation thename, address, account number, and
payment amount for the payee on a bill payment.
·If you have not properly followed the instructions
for using OneLink.
·If circumstances beyond our control (such as fire,
flood or improper transmission or handling of payments by a third party)
prevent the transfer, despite reasonable precautions taken by us.
Other Agreements - In addition to this Agreement you agree
to be bound by and will comply with the requirements of the applicable Deposit
Agreement and Disclosure, the Bank's rules and regulations, the rules and
regulations of any funds transfer system to which the Bank belongs, and
applicable State and Federal laws and regulations. We agree to be bound by them

this Agreement - The Bank reserves the right to terminate this Agreement and
your access to OneLink, in whole or in part, at any time without prior notice.
Protecting Your Account
Preventing Misuse of Your Account
Your role is extremely important in the prevention of any
wrongful use of your account. You must promptly examine your statement upon
receipt. If you find that your records and ours disagree, you must immediately
call Oneida Savings Customer Service
at (315) 363-2000.
Protecting Personal Information - In addition to
protecting your account information, you should also take precautions to
protect your personal identification information, such as your driver's
license, Social Security Number, etc. This information by itself or together
with information on your account may allow unauthorized access to your
account(s). It is your responsibility to protect personal information with the
same level of care that you protect your account information.
Taking Care of Your Online Password - The password that is
used to gain access to OneLink should also be kept confidential. For your
protection we recommend that you change your Online
password regularly. It is recommended that you memorize this Online
password and do not write it down.
You are responsible for keeping your password, account
numbers and other account data confidential. If you believe that your Online password may have been lost or stolen, or that
someone has transferred or may transfer money from your account without your
permission, notify Oneida Savings
Customer Service at once at (315)
Unauthorized Transactions in Your Oneida Savings Accounts
Notify us immediately if you believe another person has
improperly obtained your Online password. Also notify
us if someone has transferred or may transfer money from your account without
your permission, or if you suspect any fraudulent activity on your account.
Only reveal your account number to a legitimate entity for a purpose you
authorize (such as your insurance company for automatic payments). To notify
us, call Oneida Savings Customer
Service at (315) 363-2000, or write Oneida Savings, 182 Main Street, OneidaNY13421.
If your Online password has been
compromised and you tell us within two (2) business days after you learn of the
loss or theft, you can lose no more than $50 if someone used your Online
password without your permission to access a Oneida Savings deposit account. If you do NOT tell us within two
(2) business days after you learn of the loss or theft, and we could have
stopped someone from taking money without your permission had you told us, you
could lose as much as $500.
Also, if your statement shows
withdrawals, transfers or purchases that you did not make or authorize, please
notify us immediately. If you do not notify us within sixty (60) days after the
paper statement was mailed to you, and we could have stopped someone from
taking money if you had told us in time, you may not get back any money lost
after the sixty (60) days. If extenuating circumstances, such as a long trip or
hospital stay, kept you from telling us, the time periods in this section will

This Agreement is a contract that establishes your rights
and obligations as a user of the e-Statement Service ("Service"). It
also describes the rights and obligations of Oneida Savings. Please read this
Agreement carefully. By pressing the Agree button below, you elect and
authorize us to electronically deliver your account statement(s).
If you sign up to receive eStatements, the terms and
conditions of the deposit agreement and disclosures for each of your Oneida
Savings accounts, as well as your other agreements with Oneida Savings such as
loans, continue to apply.
Other Federal and State statutes may be enacted or amended in the future to
provide for electronic delivery of account statements. Your acceptance below
also authorizes us, at our discretion, to provide electronic delivery of such
statements pursuant to these statutes after they become effective. If there is
more than one owner that is a party to the account, notice to any one account
owner will be effective for all.
By accepting this agreement you agree to comply with the terms and conditions
as set forth below.
The following definitions apply in this Agreement:
"E-Statement" is the
Internet-based service in which Oneida Savings provides periodic statements by
of periodic encrypted account statements to an e-mail address, which you specify
under the terms set forth in this e-Statement Agreement; or
of periodic statement when logging on to Oneida Savings’ Internet banking site.
You will be e-mailed when a statement is made available.
"Password" is the code you create when enrolling
for use in opening and de-encrypting your electronic statement.
"Oneida Savings," or, simply, "Bank" refers to Oneida Savings Bank, which offers the Service, and which
holds the accounts for which statements are being provided through the Service.
Electronic Delivery of Account Statements (eStatements)
sign up for eStatements, you agree to receive your periodic account statements
online through our eStatements service. Your electronic statements will contain
the same content as the paper version you have been receiving, which includes:
account balances, transaction activity, electronic funds transfer information,
interest posting where applicable, and error notification procedures.

OneLink Internet banking.

We will use commercially reasonable measures, consistent with industry
standards, to maintain a reasonable level of security over the information
contained in the electronically delivered account statement(s). Our security
consists of 128-bit encryption of the data contained in the electronic
statement to protect it while in transit over the Internet. Once you receive
and open an electronic statement, you decrypt it when you enter your unique
Password (either when logging on to Internet Banking or when you receive an
encrypted e-mail) until such time that you exit the e-Statement, at which time
it is once again encrypted at the 128-bit level and Password protected.
You understand that these industry standards are dynamic and constantly
developing. By accepting this agreement, you acknowledge and understand that
there are risks to electronic delivery of account statement(s), including, but
not limited to, delay or failure of delivery due to technical difficulties,
weather conditions, matters beyond our reasonable control, or interruption
and/or alteration of such account statement(s) by third parties in spite of the
Bank's commercially reasonable security measures.
By accepting this agreement, you represent that you have considered our
security measures, and find that our security measures are commercially
reasonable. In reaching this conclusion, you have considered the historical and
potential future content of your statement(s), the risks associated with
electronic delivery of account statement(s), and our security procedures. If
you conclude that our security procedures cease to be commercially reasonable
in the future, you must terminate this agreement immediately in accordance with
the procedure outlined below.
To receive electronic statements, your computer hardware, software and your
Internet service provider (ISP) must meet all of the following specifications:
Pentium class computer
32 MB RAM
200 MB free disk space
Windows 95, 98, ME, 2000, or NT 4.0 operating system
Internet Explorer 5.5 (SP2) or Above
Netscape 6 or Above
We also recommend that you have the Adobe Acrobat
Reader installed for additional functionality
We will send your periodic account statement(s), or
notification of statement availability, to you via e-mail to the last known
e-mail address provided by you. You agree to notify us promptly of any change
of your e-mail address using the procedures set forth below. If you have not
notified us of any change to your e-mail address, you agree that your failure
to provide us with a good e-mail address is the lack of ordinary care on your
part, and we will not be responsible for any loss that occurs as a result of
this failure. If we become aware that you are not receiving your
e-Statement(s), we will send your e-Statement(s) to you via U.S. Mail to your
last address known to us, provided, however, we will have no liability for our
failure to do so except as otherwise provided for in any applicable Federal
Use of your Security
You agree not to allow anyone to gain access to the Service or to let anyone know
your Password used with the Service. You further agree that the Bank has no
control as to the persons who have access to your personal computer and your
Password. The Bank will not be liable for any unauthorized access to your
personal computer using your Password. You agree that it is your responsibility
to initiate and maintain the highest level of password security procedures to
prevent any unauthorized access to your personal computer or unauthorized use
of your Password.
Notice of Unauthorized Access
If you believe your electronic statement has been lost or stolen, or that
someone has obtained access to your electronic statement without your
permission, immediately call Oneida Savings between and (Eastern Time) at (315) 363-2000.
Changing Your Security Password / E-mail Address
If you would like to change your e-mail address or Password, you may do so by
accessing the eStatements page and selecting “Change Options”. After changing
your information, select “Continue”.
Prompt Statement Review
You must promptly review your electronic statement and any accompanying items.
If you allow someone other than you to review your statements, you must still
review the statement for any errors, unauthorized signatures, lack of
signatures, alterations, or other irregularities. Any applicable time periods
within which you must notify us of any errors on your account statement(s)
shall begin on the day it is sent to you by e-mail, regardless of when you
receive and/or open the e-Statement.
If your statement shows any error, unauthorized signature, lack of signature,
alteration or other irregularity, notify Oneida Savings immediately by calling

If you do not notify Oneida Savings within sixty (60) days after the statement
was sent to you, you may not recover any money lost after the sixty (60) days
which would not have been lost if Oneida Savings had been notified in time.
Limit of Oneida
Savings and Other Provider's Responsibility
Oneida Savings agrees to make reasonable efforts to ensure full performance of
the e-Statement Service. We shall have no liability for failure to perform any
e-Statement Service, or for any disruption or delay in performing e-Statement
Service, in the event such failure, disruption, or delay is due to
circumstances beyond our reasonable control, including, but not limited to,
failure or disruption of electrical power, computer equipment,
telecommunication systems, your Internet Service Provider, or weather
conditions. We shall have no liability for any consequential, special, punitive
damages or indirect loss under any circumstances. Oneida Savings is
not responsible for any computer virus or related problems, which may be attributable
to the Service.
You are responsible for obtaining, installing, maintaining, and operating all
computer hardware and software necessary for receiving e-Statements. Oneida Savings
will not be responsible for any errors or failures from the malfunction or
failure of your hardware or software.
We make no warranties of any kind with respect to the software program used to
access your electronic statement, and we do not warrant that the software
program or the e-Statement Service will meet your specific requirements. We
make no warranties of any kind, whether express or implied, with respect to the
use and adequacy of the software program or the e-Statement Service we provide under
this agreement. We disclaim any and all implied warranties, including, but not
limited to, the implied warranties of merchantability and fitness for a
Under no circumstances will Oneida Savings be liable in contract, tort, or otherwise
for any special, incidental, or consequential damages, whether or not
foreseeable. By consenting to use the Services, you agree to waive any and all
right to any of the aforesaid, and you acknowledge that the limit of your
remedy is as otherwise expressly set forth herein.
If you send Oneida Savings an electronic mail message, Oneida Savings will be
deemed to have received it on the following business day. Oneida Savings will
have a reasonable time to act on your e-mail.
You should not rely on electronic mail if you need to communicate with Oneida
Savings immediately (e.g., if you need to report an unauthorized transaction
from one of your accounts, or if you need to stop a payment that is scheduled
You agree that Oneida Savings may respond to you by electronic mail with regard
to any matter related to the Service. Any such electronic mail sent to you by Oneida
Savings shall be considered received within three (3) days of the date sent by Oneida
Savings, regardless of whether or not you sign on to your specified e-mail
account within that time frame.
In addition to this Agreement, you and Oneida Savings agree to be bound by and
comply with the requirements of the agreements applicable to each of the accounts
for which you elect to receive electronic statements. Your use of the
e-Statement Service is your acknowledgment that you have received these
agreements and intend to be bound by them. You should review other disclosures
received by you when you open your accounts at Oneida Savings.
Modifications to this
Oneida Savings may modify the terms and conditions applicable to the Service
from time to time upon mailing or delivering a notice of the modifications to
you at the address shown on our account records, and the revised terms and
conditions shall be effective at the earliest date allowed by applicable law.
We may send any notice to you via electronic mail and you will have been deemed
to have received it three (3) days after it is sent. We reserve the right to
terminate this Agreement and your use of the Services in whole or in part at
any time without prior notice.
Inactivity / Termination
To cancel the e-Statement Service, you must notify Oneida Savings and provide
your name, address, and the effective date to stop the Service. You may notify Oneida
Savings by one of the following methods:
(1) By initiating a
customer inquiry through our Web site
(2) By calling Oneida Savings at (315) 363-2000 between 8:00 a.m. and 5:00 p.m.
(3) By writing a letter and either sending it to the following address or
giving it to a Bank Representative at any location:

This Agreement is governed by the laws of the State of New York and applicable
Oneida Savings offers the benefits and convenience of the e-Statement Service
to you free of charge.
